ConnectedHealth Pte Ltd (UEN 200909255E) is a company incorporated in Singapore, with its registered office at 81 Ayer Rajah Crescent, #03-59, Singapore (139967) (referred to herein as “ConnectedHealth”, “we”, “us” or “our”).
ConnectedHealth is a digital healthcare company which has developed and owns “SugoSure”, a chronic disease management product which supports care for patients with Diabetes Mellitus (“Sugosure” or the “Sugosure Platform”).
ConnectedHealth operates the Sugosure Platform but does not deliver medical care. The Sugosure Platform collects and processes patient data in a proprietary manner to provide feedback and support to patients, assist physicians in patients’ clinical care, and to allow health coaches to provide lifestyle and health related coaching. SugoSure stores patient data in the cloud and provides user interfaces to patients through a mobile patient application (“Patient App”) and to physicians and health coaches through a web portal (“Physician Portal” and “Health Coach Portal”).

From time to time as we deem appropriate, we may allow access to or promote or advertise certain third-party product or service providers ("Third Parties”) from whom you may purchase certain goods or services, including your personal physicians, health coaches and other healthcare service providers e.g. dieticians. Transactions for these goods and services may or may not be concluded on this Website or the SugoSure Platform. You acknowledge that we do not operate or control the products or services offered by these Third Parties who are solely responsible for all aspects of their relationship with you. We are not a party to the transactions entered into between you and Third Parties and will not be held responsible for any aspect of any interactions, rights and obligations between you and the Third Parties.
10. Indemnification
You hereby agree to indemnify, hold harmless, and defend ConnectedHealth and its affiliated companies, and their respective predecessors, successors, and assigns, and all of their respective current and former officers, directors, shareholders, agents, and employees (the “Indemnified Parties”) from any and all actions, causes of action, suits, proceedings, claims, and/or demands by any third party (and all resulting judgments, bona fide settlements, penalties, damages, losses, liabilities, costs, and expenses (including without limitation, reasonable attorneys’ fees and costs)), which arise out of: (a) your actual or alleged breach of these Terms of Use, (b) any negligent act or omission by you, (c) any alleged breach by you of any applicable law, regulation or directive; or (d) any third party claim, action, or demand related to your use of this Website or Content (each a “Claim” and collectively “Claims”).

No rights or remedies referred to in any applicable law will be conferred on you unless expressly granted.
12. Limitation of Liability
Save as may be otherwise expressly or separately agreed with you under any other contract, ConnectedHealth and its licensors are not and shall not be liable for any claim, injury or damage arising from the use of or the inability to use this Website; any content, functionality, feature, software or material used or found hereon.
Under no circumstances shall we, or any of our officers, directors, shareholders, employees, agents or representatives, be liable for any punitive, exemplary, consequential, incidental, indirect, or special damages, including for lost or corrupted data or lost profits or other economic damages, arising from or in connection with this Website or the Content, whether under a theory of breach of contract, negligence, strict liability, or otherwise, even if ConnectedHealth has been advised of the possibility of such damages.
13. Governing Law and Arbitration
These Terms of Use and any action related thereto will be governed and interpreted by and under the laws of the Republic of Singapore, without giving effect to any conflicts of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Use.
Any dispute arising out of or in connection with these Terms of Use shall be referred exclusively to arbitration in Singapore in accordance with the Singapore International Arbitration Act (Chapter 143A) or any statutory modification or re-enactment thereof save to the extent necessary to give effect to the provisions of this clause. The seat of arbitration shall be Singapore even where any hearing takes place in another jurisdiction.
14. Waiver
Any failure by ConnectedHealth to require performance of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by ConnectedHealth of a breach of any provision hereof be taken or held to be a waiver of the provision itself.
15. Severability
In the event that any provision of these Terms of Use shall be unenforceable or invalid under any applicable law or be so held by applicable court decision, such unenforceability or invalidity shall not render these Terms of Use unenforceable or invalid as a whole. ConnectedHealth will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, the original objectives and intent as reflected in the original provision.
16. No Rights of Third Parties.
A person or entity who is not a party to the agreement formed between ConnectedHealth and you hereunder, shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce any term of these Terms of Use.
